1. Acceptance of Terms

By accessing or using the websites, portals, and engineering services offered by VL Techlabs, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must refrain from accessing our digital properties or utilizing our consulting services.

2. Services & Consulting Engagements

VL Techlabs provides deep-tech software development, AI/ML engineering, robotics architectures, and technology consulting services. Specific deliverables, project scopes, timelines, and payment milestones are governed by Master Services Agreements (MSAs), Statements of Work (SOWs), or individual project contracts executed between VL Techlabs and the client.

3. Intellectual Property Rights

Unless otherwise agreed in a signed Master Services Agreement:

• VL Techlabs IP: All proprietary frameworks, pre-existing codebases, lab tools, logos, graphics, and website content remain the exclusive intellectual property of VL Techlabs.
• Client IP: Custom code, models, and specifications developed specifically for a client under a paid Statement of Work will transfer according to the ownership terms defined in the applicable client contract.

4. Acceptable Use of Digital Properties

When interacting with our website or digital portals, you agree not to:

• Attempt unauthorized access to our web servers, edge infrastructure, or internal client networks.
• Use automated scrapers, bots, or data mining tools without prior written authorization.
• Submit malicious software, code, or harmful payloads through our project intake forms.

5. Quality Assurance & ISO Standards

VL Techlabs operates under an ISO 9001:2015 Quality Management System (QMS) framework. While we adhere to rigorous engineering standards, software systems and R&D prototypes are provided "as is" unless explicit warranties and SLA performance guarantees are defined within a signed client agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, VL Techlabs, its directors, employees, or partners shall not be liable for any indirect, incidental, consequential, or punitive damages resulting from your use of or inability to use our website or services.

7. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes, legal actions, or proceedings arising out of or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Rajahmahendravaram, Andhra Pradesh, India.
